1. Who we are
Shiftline AI Ltd (company number 15046282, registered in England and Wales, registered address 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ) operates all products, websites, and services under the Shiftline brand. There is one registered legal entity. These terms apply to all of them.
By accessing or using any Shiftline product or website, you agree to these terms. If you are using a Shiftline product on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. Services
Shiftline AI Ltd builds and operates a portfolio of AI-powered software products, tools, and informational resources. Products may include SaaS tools, content platforms, AI-assisted services, operator playbooks, and consulting engagements. The specific features and conditions of each product are described within that product or in an applicable Statement of Work.
We provide our services on an “as is” basis and do not guarantee uninterrupted availability. We reserve the right to modify, suspend, or discontinue any product at any time with reasonable notice where practicable.
3. Independent contractor relationship
Where Shiftline provides services under a consulting or services agreement, Shiftline acts as an independent contractor. Nothing in these terms creates an employer-employee, agency, joint venture, or partnership relationship between Shiftline and any customer or user.
4. Acceptable use
You agree not to:
- Use any Shiftline product for unlawful purposes or in violation of applicable law.
- Attempt to gain unauthorised access to any system, account, or data.
- Scrape, crawl, or systematically extract content without written permission.
- Resell or redistribute access to members-only products without authorisation.
- Transmit spam, malware, or content that is harmful, defamatory, or infringing.
- Attempt to circumvent or override any content safety or guardrail controls.
5. Intellectual property
All content, code, branding, and materials on Shiftline products are owned by or licensed to Shiftline AI Ltd. Nothing in these terms grants you any right to use the Shiftline name, logo, or trademarks without prior written consent.
Where Shiftline creates work product under a services engagement, intellectual property assignment is governed by the applicable Master Services Agreement or Statement of Work. Shiftline’s pre-existing proprietary code, software, and tools remain the property of Shiftline AI Ltd in all cases.
6. Payments
Where a Shiftline product charges a fee, payment terms are displayed at the point of purchase or set out in the applicable Statement of Work. Payments are processed by Stripe where applicable — Shiftline does not store card details. Unless otherwise stated, subscriptions renew automatically and may be cancelled before the next billing date. Invoices are payable within 30 days of receipt.
7. Confidentiality
Each party agrees to keep confidential any business information shared by the other party that should reasonably be understood to be confidential, and not to use it for any purpose other than as provided for under these terms or an applicable agreement.
8. Warranties
Shiftline warrants that services will be performed in a professional and workmanlike manner. Shiftline does not warrant that services will be uninterrupted or error-free. All other warranties, express or implied, are excluded to the fullest extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by law, Shiftline AI Ltd shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of our products or services. Our total cumulative liability for all claims shall not exceed the total compensation paid to Shiftline in the 12 months preceding the claim, or £100, whichever is greater.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
10. Force majeure
Neither party shall be liable for any failure or delay in performing obligations where such failure or delay results from any cause beyond that party’s reasonable control, including power failure, internet service provider failure, industrial action, civil unrest, fire, flood, acts of terrorism, acts of war, or governmental action.
11. Data processing
Your use of Shiftline products is also governed by our Privacy Policy, which forms part of these terms. Enterprise customers requiring a Data Processing Addendum, Standard Contractual Clauses, or a signed MSA should refer to our Legal & Compliance page.
12. Changes to these terms
We may update these terms from time to time. Material changes will be communicated via the email address associated with your account (where applicable) or by posting a notice on the relevant product. Continued use after changes take effect constitutes acceptance of the revised terms.
13. Dispute resolution and governing law
Any disputes arising from these terms will be resolved through mediation in the first instance. These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes that cannot be resolved through mediation shall be subject to the exclusive jurisdiction of the courts of England and Wales.
